Terms of Service

Acceptance of Terms

By accessing or using Convive, you agree to be bound by these Terms of Service. If you do not agree, do not use the service. These terms apply to both registered users and guest (anonymous) participants.

You must be at least 18 years old to use Convive. By using the service you represent that you are 18 or older.

Description of Service

Convive is a group planning platform that helps you and your friends plan hangouts using AI-powered suggestions, shared links, and group voting. We currently provide the service through our website and web app. The service is provided "as is." We do not guarantee uptime, the accuracy of AI-generated suggestions, or fitness for any particular purpose.

User Accounts

Convive accounts are created and accessed using your phone number. By providing your phone number, you consent to receive automated SMS one-time codes from us for authentication. You must have a phone number capable of receiving SMS to use Convive as a registered user.

Other Convive users who know your phone number or display name can find your account on Convive. We do not display your phone number to other users in search results.

You are responsible for keeping your phone access secure and for all activity that occurs under your account. If you lose access to your phone number, contact us at privacy@conviveapp.com.

Guest participants may join hangouts without registering, using a display name and (when prompted) completing a CAPTCHA. Guests are bound by the same terms and policies as registered users.

User Content

Content you submit on Convive includes (but is not limited to): votes, place suggestions, time-slot proposals, sticky notes, group chat messages inside a hangout, place reviews and ratings, "want to go" and "been" place interactions, vibe preferences, and your profile information (display name, bio, avatar).

You retain ownership of the content you submit. By submitting content, you grant Convive a non-exclusive, royalty-free, worldwide license to use, store, display, and process that content as needed to operate the service — including showing your votes and messages to other hangout participants, displaying public reviews on a place's detail page, displaying your avatar in places where you appear on the service, powering the AI assistant on content you choose to send to it, and operating the service generally. You represent that you have the right to grant this license and that your content does not violate these terms or any law.

Visibility of your content. Some content is visible only to other attendees of a specific hangout (such as votes, time-slot proposals, sticky notes, and group chat messages). Reviews of places, ratings, and place interactions have a visibility setting you control (friends-only by default, optionally public). Public reviews are visible on the relevant place's detail page to any user of Convive. Your uploaded avatar image is reachable by URL and should be treated as visible to other Convive users. You are responsible for the visibility you select for your content.

Prohibited Conduct

You may not use Convive to:

  • Harass, abuse, or harm others.
  • Spam, scrape, or automate access in violation of our systems.
  • Impersonate any person or entity.
  • Post illegal content or conduct illegal activity.
  • Circumvent security, rate limits, or access controls.
  • Use someone else's phone number to register, or use the friend-discovery features to harass or stalk other users.

We may suspend or terminate accounts that violate these rules.

Intellectual Property

Convive and its branding, design, and technology are owned by us or our licensors. You may not copy, modify, or create derivative works of our platform or trademarks without permission. Your license to use the service is limited to the rights set out in these terms.

Third-Party Services

Convive relies on third-party services to operate. These include:

  • Supabase for database and authentication.
  • Vercel for hosting and analytics.
  • Twilio for delivery of authentication SMS one-time codes.
  • Cloudflare for CAPTCHA (Turnstile) and abuse prevention on guest sign-in.
  • Google Places for place and venue data.
  • Mapbox for maps and location.
  • Anthropic and Google (AI) for our AI assistant.

Your use of Convive may be subject to those providers' terms and policies where relevant. We are not responsible for third-party content, services, or their availability.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE UPTIME, THE ACCURACY OF AI-GENERATED SUGGESTIONS OR THIRD-PARTY DATA (SUCH AS PLACES OR MAPS), OR THAT THE SERVICE WILL BE ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVIVE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

Indemnification

You agree to indemnify and hold harmless Convive and its affiliates from any claims, damages, or expenses (including legal fees) arising from your use of the service, your content, or your violation of these terms or any law.

Termination

We may suspend or terminate your access to Convive at any time, with or without cause or notice. Upon termination, your right to use the service ceases.

You may request account deletion at any time by emailing privacy@conviveapp.com. Self-service in-app account deletion is not currently available; we aim to process verified deletion requests within 30 days. We may retain or delete your data as described in our Privacy Policy.

Governing Law

These terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved in the courts of Delaware, and you consent to personal jurisdiction there.

Changes to These Terms

We may update these Terms of Service from time to time. For most updates, we will notify you in the product, and your continued use of the service — or your dismissal of any notice we provide regarding such changes — constitutes your acceptance of the updated terms. For material changes that affect your fundamental rights (including changes to how disputes are resolved between us, limitations on our liability, or fundamentally new uses of your personal data), we will require your explicit acceptance before you continue to use the service.

We will post the updated terms on this page and update the "Last updated" date. If you do not access the service during a notice period, you will be notified when you next access the service. You are responsible for keeping informed of changes by reviewing these terms periodically.
